Severe Statutory Penalties
Why timely annual filing is the most critical requirement for an Indian LLP
A Limited Liability Partnership (LLP) combines the organizational flexibility of a partnership with the limited liability status of a company. While LLPs enjoy tremendous compliance exemptions—no requirement to maintain minutes books, hold AGMs, or follow rigid board procedures—their annual return penalties are among the strictest in Indian corporate law.
Under the LLP Act, 2008, late filing of Form 11 (Annual Return) or Form 8 (Statement of Accounts & Solvency) attracts a flat, non-negotiable statutory late fee of ₹100 per day per form with NO upper limit. A small delay of 6 months can easily cost an LLP more than ₹36,000 in government fines alone, alongside personal penalties on Designated Partners ranging from ₹10,000 to ₹1,00,000.
VIDURA's LLP Compliance AMC is designed to eliminate this risk entirely. We track your statutory cutoff dates, draft statement of solvency declarations, coordinate with certifying professionals, and file both forms well ahead of schedule.

FAQ
Frequently Asked Questions About LLP Compliance
What is the penalty if an LLP fails to file Form 11 and Form 8 on time?
The statutory penalty under the LLP Act is a flat ₹100 per day per form from the day after the due date until the form is filed. For example, if both forms are delayed by 90 days, the total penalty payable to the MCA is ₹18,000 (₹9,000 for Form 11 + ₹9,000 for Form 8) in addition to normal government filing fees.
Is tax audit mandatory for every LLP in India?
No. Under Rule 24 of the LLP Rules, 2009, an LLP is required to get its accounts audited by a Chartered Accountant only if its annual turnover exceeds ₹40 Lakhs in any financial year OR if its total partner capital contribution exceeds ₹25 Lakhs. Below these thresholds, an audit is not mandatory.
Does an LLP need to maintain a minutes book or hold board meetings?
No. Unlike Private Limited companies, an LLP is not legally required to maintain formal minutes books, issue meeting notices, or hold quarterly board meetings unless specifically mandated by the terms of its bilateral LLP Agreement.
Can a dormant LLP stop filing Form 11 and Form 8?
No. Even if an LLP has zero revenue, no bank transactions, and no business operations, filing Form 11 and Form 8 remains strictly mandatory every year until the LLP is formally closed and struck off from the register via Form 24.
