Relaxed Compliance

OPC compliance privileges vs. statutory obligations

The One Person Company (OPC) structure is one of India's most entrepreneur-friendly business vehicles. The Companies Act, 2013 grants significant exemptions to OPCs: no requirement to conduct an Annual General Meeting (AGM), relaxed board meeting norms for single-director setups, and the exemption of cash flow statements from financial filings.

However, an OPC is still a body corporate. It must file its audited financial statements (Form AOC-4) within 180 days from the close of the financial year and its annual return (Form MGT-7A) with the Registrar of Companies.

Defaulting on OPC filings incurs the same severe ₹100 per day penalty as large companies, along with the risk of director deactivation. VIDURA's OPC AMC ensures your filings are submitted on time, accurately, and at a fraction of standard corporate compliance costs.

FAQ

Frequently Asked Questions About OPC Compliance

Does an OPC need to hold an Annual General Meeting (AGM)?

No. Under Section 96(1) of the Companies Act, 2013, One Person Companies are explicitly exempted from holding an AGM. Resolutions are simply recorded in the minute book and signed by the sole member.

When is the due date for filing Form AOC-4 for an OPC?

Under Section 137(1) third proviso, an OPC must file its financial statements in Form AOC-4 within 180 days from the closure of the financial year (typically on or before September 27th each year).

Does a single-director OPC need to conduct board meetings?

No. If an OPC has only one director on its board, the provisions of Section 173 regarding holding board meetings do not apply. However, if the OPC has appointed more than one director, at least one board meeting must be held in each half of a calendar year.

What is the penalty for not filing OPC annual returns?

The penalty for late filing of Form AOC-4 and Form MGT-7A is ₹100 per day per form until the filing is completed, plus potential fines on the director and company under Section 137 and Section 92.
