Liability Protection
Why formal MCA resignation is essential to protect stepping-down directors
Simply handing over a paper resignation letter to co-directors does NOT automatically insulate an outgoing director from legal and regulatory liabilities. Under the Companies Act, 2013, an individual remains officially listed as an active director on the MCA public portal until Form DIR-12 is filed by the company and Form DIR-11 is submitted by the director.
If the company fails to record the resignation and subsequently defaults on GST, tax TDS, cheque clearances (Section 138 NI Act), or annual ROC filings, prosecution notices and police summons can still be issued against the un-relieved director.
Under Section 168, the resignation takes effect from the date notice is received by the company or the date specified in the notice, whichever is later. VIDURA handles dual filing (DIR-11 and DIR-12) to ensure clean, unequivocal legal detachment.

FAQ
Frequently Asked Questions About Director Resignation
When does a director's resignation become effective?
Under Section 168(2) of the Companies Act, the resignation of a director takes effect from the date on which the notice is received by the company or the date specified by the director in the notice, whichever is later.
What if the company refuses to accept my resignation or file Form DIR-12?
The company cannot legally reject a director's resignation. If the company fails or refuses to file Form DIR-12, the resigning director can independently file Form DIR-11 with the ROC along with the speed post delivery receipt of the resignation letter to legally record their exit.
Is a resigning director liable for company debts after resignation?
A director who has resigned is NOT liable for any offenses, loans, or statutory defaults committed by the company after the effective date of their resignation. However, they remain liable for acts and defaults committed during their tenure as director.
