Solo Entrepreneur Vehicle
All the legal benefits of a Private Limited Company with a single owner
The One Person Company (OPC) was introduced under the Companies Act, 2013 to empower individual entrepreneurs, solo consultants, and developers. Prior to this, incorporating a company required at least two founders, often forcing solo creators to take on dummy partners or operate as unprotected sole proprietorships.
An OPC operates as an autonomous legal entity separate from its single owner. This means the founder's personal savings, property, and vehicle are never liable for business losses or operational debts. At the same time, an OPC commands significantly higher market credibility from vendors, enterprise clients, and banks than an unregistered proprietorship.
OPCs enjoy substantial regulatory relaxations under the law: they are not required to hold Annual General Meetings (AGM), their cash flow statements are exempt from statutory financial reporting, and the single founder can appoint up to 15 administrative directors without sharing any equity.

Entity Comparison
How OPC compares with Proprietorship and Pvt Ltd
OPC vs Sole Proprietorship
Proprietorship offers zero liability protection (personal property is at risk for business debts). OPC provides complete limited liability and a separate corporate legal identity.
OPC vs Private Limited Company
Pvt Ltd requires minimum 2 founders and holds mandatory AGMs. OPC requires only 1 founder, has no AGM obligation, but must appoint a succession nominee.
OPC vs LLP
An LLP requires at least 2 partners and is taxed under partnership rules. An OPC allows solo ownership and is taxed under corporate tax provisions.

Can foreign nationals or NRIs form an OPC in India?
The sole member of an OPC must be a natural person who is an Indian citizen. Under recent amendments, non-resident Indians (NRIs) who have stayed in India for at least 120 days during the financial year can also incorporate an OPC.

Yes. An OPC can appoint up to 15 directors to manage day-to-day operations and executive duties without granting them any equity or shareholding.
Can an OPC convert into a Private Limited Company?
